Dilip Buildcon Proposes Divestment of ₹8,400 Crore Transmission and Solar Assets

Dilip Buildcon Limited (DBL) has approved the proposed divestment of its stakes in two under-construction infrastructure projects to Alpha Alternatives Fund Advisors LLP and/or its affiliates. The combined project cost of the assets is estimated at around ₹8,400 crore.

The proposal, approved by DBL’s Board of Directors on August 10, 2026, involves two special purpose vehicles developing power transmission and renewable energy assets.

One of the key assets is DBL Renewable Private Limited, which is developing a 1,363 MW AC / 1,977 MWp DC solar portfolio through 10 special purpose vehicles across Madhya Pradesh.

The other asset, Mekhali Power Transmission Limited, is developing a 400-kV substation and transmission project covering around 470 circuit kilometres in Belagavi, Karnataka.

The transaction is expected to be completed through a phased subscription and closing process. However, definitive agreements between the parties have not yet been signed.

DBL said the proposed divestment is intended to unlock value from its infrastructure assets while supporting its strategy of building an asset-light business focused on recurring cash flows and capital recycling.

The transaction is also expected to help the company reduce debt and strengthen its balance sheet, while transferring its focus towards a more capital-efficient infrastructure portfolio.
